PURCHASE & SALE AGREEMENT REVIEW

Purchase & Sale Agreement Review

Clear sale terms help you prepare for closing. We review the agreement and amendments within the scope of your retainer.

Signing legal documents

Understand your obligations

Send every schedule and amendment and identify concerns about possession, inclusions, closing dates, or buyer conditions.

Prepare for the transfer

Early review helps identify documents and issues that may need attention before closing. Tell us promptly if the agreement changes.

A contract that fits the sale

The purchase and sale agreement establishes the parties’ obligations before closing. Review the legal description, included fixtures, deposit, date, conditions, and special promises as a single package. A standard form can be materially changed by its schedules.

Property-specific clauses

A tenanted property, estate sale, private sale, or commercial transaction may require terms that address its particular circumstances. Explain those circumstances before relying on standard wording.

Conditions, notices, and amendments

A condition does not simply disappear when circumstances change. Its wording governs what must happen and when. We explain notice and waiver provisions and discuss revisions the parties may need to agree.

Keep the transaction record complete

Send accepted offers, amendments, waivers, deposit records, and material correspondence. A later document can affect an obligation that appeared straightforward in the original agreement.

Managing the agreement through closing

Contract review and closing work are connected but distinct. The transaction may still require title inquiries, mortgage discharge arrangements, funding, signing, and registration.

Address problems promptly

If timing, occupation, condition, or another obligation becomes disputed, notify our office early. We assess the agreement and discuss options within the retainer rather than assume that an informal understanding changes the signed terms.

Review the agreement as a working closing plan

The agreement should be workable as well as understandable. Identify obligations that depend on a lender, tenant, co-owner, estate, or third party. We discuss the documents and timing needed to satisfy the contract and the issues to resolve before the completion date arrives.
